These Terms of Service (Terms) govern access to and use of the Specere platform, including Specere.ai, Specere CRM, SpecereShift, associated software plugins, voice features, and related services (Services).
The Services are provided by SPECERE GROUP PTY LTD (ACN 684 159 199) (Specere, Specere.ai, we, us, our).
By accessing or using the Services, or by authorising any individual to do so on your behalf, you agree to be bound by these Terms.
1. Nature of the Services
The Services are enterprise software tools designed to assist organisations with operational management, scheduling, CRM workflows, automation, analytics, and AI-assisted features, including voice recording and automated transcription.
The Services:
- generate outputs automatically using software and AI systems;
- are provided for informational and operational assistance purposes only; and
- do not constitute legal, financial, medical, clinical, compliance, or professional advice.
Specere does not guarantee that outputs will be accurate, complete, compliant, current, unique, or fit for any specific purpose. You remain solely responsible for all decisions, actions, and outcomes arising from use of the Services.
2. Access Model and Eligibility
2.1 NDA-Gated Access
Access to the Services is restricted. No free trials or access environments are provided unless a separate non-disclosure agreement (NDA) has been executed and accepted.
Where an NDA applies:
- the NDA governs confidentiality, intellectual property protection, and competitive restrictions; and
- in the event of any inconsistency, the NDA prevails over these Terms.
2.2 Entity Responsibility
The Services are licensed to organisations, not individuals. You are responsible for:
- all authorised users who access the Services under your account; and
- ensuring all users comply with these Terms and any applicable NDA.
Any act or omission by an authorised user is deemed to be an act or omission by you.
2.3 Suspension and Termination
Specere may suspend or terminate access to the Services immediately if:
- these Terms or any NDA are breached;
- access is used unlawfully or improperly; or
- required fees are unpaid.
3. Permitted and Prohibited Use
3.1 Permitted Use
You may use the Services solely for your internal business purposes in accordance with these Terms and any applicable written agreement with Specere.
3.2 Prohibited Conduct
You must not, and must not permit any third party to:
- copy, reproduce, scrape, reverse engineer, decompile, or analyse the Services or underlying systems;
- use the Services to build, train, benchmark, or enhance competing products or services;
- resell, sublicense, or make the Services available to unauthorised parties;
- rely on outputs as a substitute for independent judgment or professional advice;
- use the Services in any unlawful, deceptive, or harmful manner.
4. AI Functionality and Outputs
The Services include AI-assisted features, including automated analysis, recommendations, and text or voice-based outputs.
You acknowledge and agree that:
- outputs are generated automatically and may contain errors or omissions;
- outputs may not be original or unique;
- Specere makes no warranties regarding accuracy, legality, or non-infringement of outputs; and
- you are solely responsible for reviewing and validating outputs before use.
You must not represent outputs as being endorsed, verified, or approved by Specere.
5. Voice Recording and Transcription
The Services may record voice interactions and perform automated voice-to-text transcription.
You acknowledge and agree that:
- recordings and transcriptions are processed automatically;
- transcription accuracy is not guaranteed;
- Specere does not monitor or verify recorded content; and
- you are responsible for ensuring lawful recording, notice, and consent under applicable local laws.
Specere is not responsible for any failure to obtain required consents or for reliance on transcriptions.
6. Intellectual Property
All intellectual property rights in the Services, including software, source code, models, prompts, workflows, UI/UX, documentation, and branding, remain the exclusive property of Specere or its licensors.
Subject to these Terms and any applicable NDA, Specere grants you a limited, non-exclusive, non-transferable, revocable licence to use the Services during the applicable term.
No rights are granted except as expressly stated.
6.1 Feedback
Any feedback provided may be used by Specere without restriction or obligation.
7. Data and Privacy
Specere handles personal information in accordance with its Privacy Policy.
Participant or sensitive data is not used to train AI models without explicit written agreement and appropriate consents.
You are responsible for ensuring that any data you input into the Services is lawfully collected and used.
8. Fees and Payment
Fees, pricing, and payment terms are governed by invoices, order forms, or separate written agreements.
Specere may suspend access for non-payment.
9. Liability and Disclaimers
To the maximum extent permitted by law:
- the Services are provided on an “as is” and “as available” basis;
- all warranties, representations, and guarantees are excluded;
- Specere is not liable for indirect, consequential, incidental, or special loss.
Specere’s total liability arising out of or in connection with the Services is limited to the fees paid by you to Specere in the 12 months preceding the claim.
Nothing in these Terms excludes non-excludable rights under Australian law.
10. Indemnity
You indemnify and hold harmless Specere from all claims, losses, damages, liabilities, penalties, and costs arising from:
- your use of the Services;
- breach of these Terms or any NDA; or
- misuse of outputs, recordings, or data.
11. Regulated Use
Where you operate in regulated environments (including government, healthcare, or statutory schemes), you are solely responsible for ensuring compliance with applicable laws, standards, and obligations.
Specere does not warrant regulatory compliance unless expressly agreed in writing.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland.
13. Miscellaneous
Specere may update these Terms from time to time.
Continued use constitutes acceptance of updated Terms.
If any provision is unenforceable, the remainder remains in effect.
These Terms, together with any NDA or written agreement, constitute the entire agreement regarding the Services.
